Nexus Nights Rental Agreement

Review the operating terms before you reserve. Your booking checkout presents the controlling agreement for electronic signature.

Important:

A reservation is confirmed only after the signed Rental Agreement, required valid government-issued ID, and 25% non-refundable Reservation Deposit are complete. Nexus Nights then issues confirmation.

1. Parties, Age, and Authority

This Rental Agreement is between CHDSH INC LLC, doing business as Nexus Nights ("Nexus Nights"), and the customer identified in the reservation ("Customer"). Customer represents that Customer is at least eighteen (18) years old and legally able to enter this Agreement. If Customer signs for a business, school, organization, or other entity, Customer represents that Customer has authority to bind that entity.

2. Reservation Requirements, Confirmation, and Soft Holds

A quote, inquiry, cart, intake, or unfinished checkout is not a confirmed reservation. A reservation becomes fully confirmed only after Nexus Nights receives the signed Rental Agreement, required valid government-issued photo identification matching the reservation holder, and required Reservation Deposit, and Nexus Nights issues confirmation. Nexus Nights may place eligible equipment and/or an event date on a complimentary temporary soft hold for up to fourteen (14) days. A soft hold is not a confirmed reservation. Its expiration date will be communicated to Customer. If the requirements are not completed before expiration, Nexus Nights may release the equipment and/or event date.

3. Reservation Deposit and Final Balance

A twenty-five percent (25%) non-refundable Reservation Deposit is required to secure Customer’s reservation, selected rental equipment, and event date. It is applied toward the total reservation balance and supports Nexus Nights’ scheduling and operational commitment while protecting the selected inventory from double-booking for another confirmed reservation. The Reservation Deposit is not a security deposit or damage deposit. The remaining reservation balance is due on the Event Date unless Nexus Nights agrees otherwise in writing.

4. Rental Term and Reservation Changes

The rental term is the period stated in the reservation. Standard rental pricing generally covers up to eight (8) hours unless the reservation states otherwise. Customer may not extend the term, move equipment, substitute users, or materially change the event, venue, or equipment without Nexus Nights’ written approval. Approved changes may affect availability, price, delivery, staffing, power, addendums, or require a new electronic acknowledgment.

5. Expedited Reservations

Events within approximately forty-eight (48) hours cannot be completed through ordinary online checkout and require direct contact with Nexus Nights. Expedited availability is not guaranteed. When accepted, an additional fee may apply based on equipment, preparation, delivery, setup, staffing, labor, scheduling impact, and other disclosed reservation requirements. Any applicable fee will be disclosed before Customer signs the applicable reservation.

6. Delivery, Setup, Acceptance, and Pickup

Delivery is included within the first fifteen (15) route miles from Oakland, California. Additional distance is charged at $1.00 per additional mile unless an approved written arrangement applies. Delivery and pickup windows are estimates and may change because of routing, traffic, weather, venue restrictions, prior events, or operational conditions. A responsible adult age 18 or older must generally accept delivery and confirm placement. Standard placement and setup are included in a reasonably accessible location where applicable. Equipment must remain accessible for pickup and generally remain in its original setup location. Waiting, return trips, blocked access, disassembly, or additional labor may result in documented additional charges.

7. Site Access, Venue, Utilities, and Permits

Customer must disclose and provide safe, legal access, including parking, gates, loading areas, credentials, stairs, elevators, carry distance, venue schedules, security checkpoints, and other restrictions. Difficult or undisclosed access may require additional labor charges or prevent setup. Customer is responsible for venue rules, noise restrictions, park rules, permits, licenses, reservations, fire approvals, HOA requirements, and other authorizations unless Nexus Nights specifically agrees otherwise in writing. Customer must provide adequate electricity and water when required. Nexus Nights may modify, relocate, delay, refuse, substitute, or cancel a setup that is unsafe, inaccessible, or impossible. Added generators, cords, hoses, adapters, or equipment may cost extra unless included in writing.

8. Equipment Condition, Use, and Customer Care

Customer accepts the equipment in the condition delivered, subject to promptly reporting a visible problem. Customer is responsible for the equipment from delivery or setup until pickup or return and must protect it from misuse, unauthorized relocation, vandalism, animals, guests, weather, food, beverages, and other hazards. Customer must follow all written and verbal operating instructions and must not alter, repair, disassemble, lend, subrent, or permit unauthorized operation of equipment.

9. Cleaning, Missing Components, Damage, Loss, and Theft

Equipment must be returned without excessive dirt, mud, sand, food, beverages, gum, confetti, glitter, tape residue, wax, smoke residue, bodily fluids, or other contaminants. Customer is responsible for damage to, loss of, theft of, or missing components from rented equipment beyond ordinary wear and tear while the equipment is in Customer’s possession or control, except to the extent otherwise covered by an applicable Nexus Nights Damage Waiver or prohibited by law. Customer agrees to pay documented repair or replacement charges for damage or loss for which Customer is responsible. Applicable charges may include reasonable parts, repair labor, replacement cost, transportation, shipping, or other documented costs reasonably associated with restoring or replacing the affected rental property. Theft or suspected theft must be reported to law enforcement, and Customer must provide Nexus Nights a police-report number within 24 hours.

10. Optional Damage Waiver

The Optional Damage Waiver is not a security deposit, damage deposit, insurance policy, unlimited protection, or release from all responsibility. It is never preselected. The approved charge is 15% of the applicable discounted equipment or package rental subtotal and is not calculated on delivery, mileage, taxes, expedited fees, deposits, attendants, staffing, labor, or consumables. If accepted, it may cover up to $250 in qualifying accidental, repairable damage under the approved terms; acceptance and the displayed charge are preserved with the executed agreement. If declined, the reservation records that it was offered and declined. The waiver does not cover loss, theft, missing equipment, intentional or reckless conduct, negligent misuse, unauthorized changes, ignored safety or weather instructions, total loss, damage beyond repair, or other stated exclusions. Customer remains responsible for amounts and events outside the waiver’s actual coverage.

11. Safety, Supervision, Weather, and Prohibited Uses

Customer must follow all safety and operating instructions, keep equipment secured as delivered, and stop use immediately if unsafe conditions arise. A responsible adult age 18 or older must supervise whenever minors are present and whenever applicable equipment is in use. Inflatable use must stop during wind beyond manufacturer limits, lightning, heavy rain, standing water, or other unsafe weather. Prohibited conduct includes climbing on frames, roughhousing, open flames, smoking or vaping near equipment, sharp objects, and any use outside the equipment’s intended purpose. For inflatables, shoes, food, drinks, gum, confetti, silly string, face paint, glitter, and sharp objects are prohibited. During an emergency, stop use, shut off power when appropriate, contact emergency services when needed, and notify Nexus Nights. Nexus Nights may terminate unsafe or improper use without refund.

12. Cancellation, Rescheduling, and Weather

Cancellation or rescheduling requests must be submitted in writing by email or text. The Reservation Deposit is generally non-refundable except where otherwise required by California law. Amounts paid beyond the Reservation Deposit may be refunded, credited, or retained based on documented labor, inventory commitments, administrative costs, and the ability to rebook. If Nexus Nights cancels because of circumstances within its control, Customer will receive a refund or rental credit equal to the applicable amount paid. Unsafe-weather decisions, substitutions, postponements, and cancellations are handled under Nexus Nights’ weather and safety requirements and any applicable addendum.

13. Equipment-Specific Addendums

Only equipment-specific addendums identified for this reservation and made available before signature are incorporated into this Agreement. Customer’s single final electronic signature applies to the complete Agreement and those identified addendums. A material reservation change that adds different equipment, obligations, or a new required addendum may require a new or supplemental electronic acknowledgment. Nexus Nights will not silently replace the historical terms already executed by Customer.

14. Assumption of Risk, Release, Indemnification, and Liability

Customer understands that event activities and rental equipment may involve inherent risks, including slips, falls, collisions, burns, electrical hazards, bodily injury, illness, property damage, or death. Customer voluntarily assumes those risks except to the extent caused by Nexus Nights’ gross negligence, reckless conduct, or willful misconduct. To the fullest extent permitted by California law, Customer releases and agrees to hold harmless Nexus Nights, CHDSH INC LLC, and their members, managers, employees, contractors, and agents from claims arising from ordinary negligence associated with the rental, event, site, or use of equipment. Customer agrees to defend, indemnify, and hold them harmless from claims, damages, losses, fines, penalties, costs, and liabilities arising from Customer’s event, attendees, supervision, site conditions, or use or misuse, except to the extent caused by gross negligence, reckless conduct, or willful misconduct.

Electronic Signature & Record Retention

Customers affirmatively consent to conduct the transaction electronically. The electronic signature, typed name, or other electronic act must be attributable to the Customer and adopted with intent to sign. Nexus Nights maintains the completed Agreement and incorporated addendums as an electronic record capable of accurate reproduction and provides a retainable copy after execution. One signature at the end applies to the complete Agreement and identified addendums; separate page-by-page initials are not required unless a later material change requires a new acknowledgment.
